The terms that govern your use of squirrelscan

Introduction

These Terms of Service ("Terms") govern your access to and use of squirrelscan, including our command line audit tool, our cloud services, and our website at squirrelscan.com (together, the "Service").

The Service is operated by Nineprimes Pty Ltd, trading as squirrelscan ("we," "our," or "us"). By using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you agree to these Terms on that organisation's behalf and confirm that you have authority to do so.

Acceptance of terms

By downloading, installing, accessing, or using any part of the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The service

squirrelscan is a website audit tool for developers and their coding agents. It includes:

  • The CLI tool: a command line application (squirrel) that runs locally on your machine and audits websites for SEO, performance, security, accessibility, and agent experience issues.
  • Cloud services: optional hosted features that crawl and audit websites, generate reports, and let you publish or share results.
  • The website: our marketing site, documentation, and account dashboard.

We may add, change, or remove features at any time. We will make reasonable efforts to give notice of material changes that affect paid features.

Accounts

Some features require an account. When you create one, you agree to:

  • Provide accurate and current information.
  • Keep your login credentials and API keys confidential and safeguard them against unauthorised use.
  • Take responsibility for all activity that occurs under your account.

Notify us promptly if you believe your account or credentials have been compromised. We are not liable for loss arising from your failure to keep your credentials secure.

Acceptable use

The Service audits websites, which can involve crawling and fetching pages. You agree to use it responsibly. In particular, you agree that you will only audit:

  • Websites you own, or
  • Websites you are otherwise authorised to audit.

You must not:

  • Audit or crawl third party websites without authorisation.
  • Crawl any site in a manner that is abusive, that overloads or disrupts it, or that circumvents its access controls or rate limits.
  • Use the Service to violate any law, infringe any right, or access data you are not entitled to access.
  • Resell, sublicense, or provide the Service to third parties without our written permission.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service, except to the extent this restriction is prohibited by law.
  • Interfere with, probe, or attempt to gain unauthorised access to the Service or its infrastructure.

You are solely responsible for ensuring you have the right to audit any website you submit to the Service, and for your use of the results.

Credits and billing

Cloud audits are paid for with credits.

  • Prepaid credits: credits are purchased in advance and consumed when you run cloud audits.
  • Flat pricing: each audit is charged at a flat, published rate, with an additional per page charge for pages that are rendered. Current pricing is shown on our pricing page.
  • Automatic refunds: if an audit fails, the credits for that audit are refunded to your balance automatically.
  • Non-transferable: credits are tied to your account. They are not transferable, not redeemable for cash, and have no value outside the Service.
  • Subscriptions: where you subscribe to a recurring plan, it renews automatically for successive periods until you cancel. You can cancel at any time, and cancellation takes effect at the end of the current billing period.
  • Payments: payments are processed by our payment provider, Stripe. We do not store your full card details. You are responsible for any taxes that apply to your purchase, unless we are required to collect them.

Except as required by law or as expressly stated in these Terms, fees and credit purchases are non-refundable.

Published and shared reports

The Service lets you publish or share audit reports, including public and unlisted reports.

  • You decide whether to publish a report and who can access it.
  • You are responsible for the content of any report you publish or share, and for ensuring you have the right to publish information about the audited website.
  • You must not publish reports that are unlawful, that infringe another person's rights, or that contain data you are not entitled to disclose.

We may remove published reports that breach these Terms or that we are required to remove by law.

Intellectual property

We own the Service, including the software, the squirrelscan name and brand, and all related intellectual property. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service in accordance with these Terms.

You own your data and the reports you generate about your own websites. By using the cloud services, you grant us the limited licence needed to operate the Service, such as crawling the sites you ask us to audit, generating reports, and hosting reports you choose to publish.

Beta features

We may offer features that are labelled beta, preview, or experimental. These features are provided for evaluation, may be incomplete or unstable, may change or be withdrawn at any time, and may be subject to additional terms. To the extent permitted by law, beta features are provided without warranty of any kind.

Australian consumer law

The Service is supplied from Australia. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law that cannot lawfully be excluded ("non-excludable rights").

Where our goods or services come with guarantees that cannot be excluded under the Australian Consumer Law, and where we are permitted to limit our liability, our liability for a failure to comply with such a guarantee is limited, at our option, to:

  • resupplying the services, or supplying equivalent services again, or
  • paying the cost of having the services resupplied.

Disclaimer of warranties

Subject to your non-excludable rights, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error free, or secure, or that audit results will be complete, accurate, or fit for any particular purpose. Audit results are informational and do not constitute professional, legal, or security advice. You are responsible for reviewing and acting on them.

Limitation of liability

Subject to your non-excludable rights and the Australian consumer law section above, and to the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or exemplary loss, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.
  • Our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the liability. Where the Australian Consumer Law applies, our liability is instead limited as set out in the Australian consumer law section above.

Indemnity

To the extent permitted by law, you agree to indemnify us against any claim, loss, liability, or expense (including reasonable legal costs) arising out of your breach of these Terms, your misuse of the Service, your audit of any website without authorisation, or the content of any report you publish.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. On termination, your right to use the Service ends. Provisions that by their nature should survive termination, such as those on intellectual property, disclaimers, limitation of liability, and indemnity, will survive.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the "Last Updated" date, and where appropriate we will provide additional notice through the Service. Your continued use of the Service after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws in force in Australia. You and we submit to the non-exclusive jurisdiction of the courts of Australia and the courts competent to hear appeals from them. This does not limit any right you have to bring proceedings, or any protection you have, under the law of the place where you live.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force.
